of leases from both a Landlord's and Tenant's perspective: retail, office, ground leases, mixed-use developments, licenses, etc. Will negotiate and draft property acquisition and sale documents for commercial real estate transactions: letters of intent, purchase and sales agreements, deeds, authority documents, and the like.
Negotiate and draft easements, ECCRs, restrictive covenants, and other similar-type documents encumbering titles. Draft condominium documents. Coordinate and direct the review, management, and preparation of commercial leasing and acquisition/sale documentation. Review Purchase and Sale Agreements, due diligence, monitor contingencies, review, and prepare title objections,
survey, and environmental reviews, closing documents and wire transfers. Conduct closings, including review and advise clients on settlement statements, and complete post-closing documentation and administration.
Draft and review complex operating agreements and bylaws, shareholders' agreements, master service and service level agreements, private placement memorandums, indemnity agreements, and other client contracts. Draft correspondence on behalf of landlords to commercial tenants' management and counsel relating to claims, defenses, and other disputes arising under lease agreements. Effectively organize and maintain client files. Monitor and calendar deadlines. Experience negotiating,
documenting, and closing financing transactions is a plus.
Knowledge of the laws and rules, as well as state and federal court procedures, forms, deadlines, filing requirements, and portals essential. Must be licensed to practice law and in good standing in at least one of the following states: MA, RI, NY, TN, NC, SC, or FL. Additional Skills: The candidate must have excellent communication and administrative skills, be highly organized and detail-oriented, be able to multitask without sacrificing efficiency, be responsible, and be able to represent the firm, always, in ways that enhance its reputation. Should have Bachelors degree and J. D. Degree. Strong oral and written communication skills are needed.
