Duties and Responsibilities: Provide legal counsel and guidance to clients in matters related to fund formation, governance, and transactions, as well as securities law matters.
Collaborate with clients to structure, negotiate, and draft various fund-related agreements, offering memoranda, and disclosure documents. Handle the legal aspects of investment fund transactions, including private equity, venture capital, and hedge funds. Ensure compliance with all relevant federal
and state securities laws and regulations. Conduct legal research and analysis, staying informed about changes in securities laws and industry trends. Maintain and build client relationships by providing clear and effective communication and delivering high-quality legal services.
Collaborate with colleagues to develop legal strategies and approaches for complex fund and securities transactions. Manage case files, maintain accurate records, and adhere to all relevant legal procedures and regulations. Requirements: Juris Doctor (JD) degree from an accredited law school. Active membership in the New Jersey Bar is required. A minimum of 7 years of legal experience, with a strong background
in fund formation, governance, and transactions, and/or securities law.
