Ensures alignment between compensation programs, compensation philosophy, business strategy and applicable laws and regulations. While operating within the Bank's risk appetite, achieves results by consistently identifying, backssing, managing, monitoring, and reporting risks of all types.

ESSENTIAL DUTIES & RESPONSIBILITIES: Owns the day-to-day administration of Fifth Third's Long-Term Incentive (LTI) compensation programs which includes SAR exercises, RSU/PSU vests, issuance of new grants, terminations, cancellations/forfeitures, etc.

Partners with third party stock plan administrator, Payroll, Finance, Accounting, Tax, and Legal to ensure the Bancorp LTI program is correctly maintained, reconciled, and reported on while also in compliance with applicable rules and regulations. Provides ongoing support to Executive Compensation Manager on executive compensation related issues including Base Salary, Annual Incentives, and LTI. Consults with the Executive Compensation Manager

in process improvement initiatives including, but not limited to, implementation of new or enhanced executive compensation programs (including annual design, performance measurement/goal setting, peer group updates, and benchmarking), system implementations (internally and on third party platforms), creating effective communications to employees at all levels, etc.

Assists the Executive Compensation Manager in preparing materials for Human Capital & Compensation Committee meetings. Interprets results from highly complex financial and trend analysis to make sound compensation decisions. Summarizes and leads discussion of results with partners. Proactive in staying informed and keeping up to date on peer incentive plan designs as well as researching and providing analysis on executive compensation, including structure, review of external market data, internal equity review and consultant benchmarking analyses.

Prepares monthly and quarterly equity compensation reports to Accounting, Tax, and external stock transfer agent. Leads completion of the CD&A section of the Proxy statement, including tables, and Committee report for the proxy. Responsible for maintaining appropriate documentation and approvals as per Sarbanes-Oxley (SOX) controls testing.

Maintains up to date process documentation on key processes. Completes quarterly dividend and director retainer process timely and accurately. Leads projects as assigned. Provides accurate and timely data analysis and ad-hoc reporting as needed. Provides support for M&A-related compensation program transition. SUPERVISORY RESPONSIBILITIES : Provides peer mentoring, coaching and training to less experienced staff. MINIMUM KNOWLEDGE, SKILLS AND ABILITIES REQUIRED : Bachelor's Degree in HR, Business Administration, Finance, or Accounting. 5-7 years of compensation experience, focus on executive/equity compensation at a public company or third-party provider preferred.

Certified Equity Professional (CEP) and/or Certified Public Accountant (CPA) is preferred. Must be able to work closely with internal and external partners using a consultative approach and provide excellent customer service. Ability to perform independent in-depth data analysis. Advanced proficiency in Excel required. Must be proficient in all Microsoft Office suite. Excellent problem solving, interpersonal, written and oral communication skills. Ability to adapt to changes in processes and frequent changes in priorities.

Exceptional attention to detail, especially with numbers. Strong organization skills with the ability to track and prioritize multiple tasks and issues.
