Duties: Advise clients on corporate governance best practices and compliance with relevant laws and regulations. Conduct thorough research on securities laws, stock exchange corporate governance standards, and proxy advisory firm policies. Draft and review corporate governance documents, including bylaws, governance policies, and codes of conduct. Provide strategic

counsel on governance-related matters, including board and committee structures and responsibilities. Collaborate with internal and external stakeholders to ensure adherence to governance standards.

Requirements: Juris Doctor (J. D. ) degree from an accredited law school. Active license to practice law in the state of New York. Minimum of 8 years of experience as a Corporate Governance Lawyer, with some experience in a law firm setting. In-depth knowledge of corporate governance best practices, securities laws, and stock exchange corporate governance standards. Strong analytical, writing, and research skills. Detail-oriented with the ability to manage multiple tasks and deadlines simultaneously.

Education: Juris Doctor (J. D. ) degree from an accredited law school.
